These Terms of Use ("Terms") govern your access to and use of the cxontology website at cxontology.com and related subdomains, and the reports, dashboards, assessments, and other materials made available through this website ("Site" and "Materials"). The Site and Materials are provided by cxontology Private Limited and its affiliates ("cxontology," "we," "our," or "us").
By accessing the Site or any Materials, you agree to these Terms. If you do not agree, do not use the Site.
These Terms govern your use of the Site only. They are not the agreement under which we deliver paid client engagements; those engagements are governed by separately executed master services agreements, statements of work, or similar contracts.
The Site, our Materials, and our services are directed to business organizations and to professionals acting in their business capacity. Nothing on the Site is offered to consumers. You represent that, in accessing the Site, you are acting on behalf of a business organization and have the authority to do so.
You may access and review the Site and publicly accessible Materials for legitimate business evaluation, internal business decision-making, and similar lawful purposes.

The Site, the Materials, the cxontology name, logo, visual identity, methodology, assessment frameworks, scoring systems, report templates, and all related content are owned by cxontology or its licensors and are protected by United States and international intellectual property laws.
We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site and publicly accessible Materials for the permitted uses described in Section 2. All other rights are reserved.
If we deliver a sample report, assessment, or similar Material directly to you in response to a request, we grant you a limited license to share that Material within your organization for internal evaluation purposes. You may not publish, redistribute, or post our Materials externally without our prior written permission.
Feedback you provide about the Site, our Materials, or our services becomes our property and may be used by us without obligation to you.
If you submit information through our Site — including via assessment teasers, contact forms, or scheduling tools — you represent that the information is accurate, that you are authorized to submit it on behalf of your organization, and that submission does not violate any obligations you owe to others (including confidentiality obligations).
Information you submit is handled in accordance with our Privacy Notice.
The Site and Materials are provided for general informational purposes. Nothing on the Site constitutes legal, financial, tax, regulatory, technical, or strategic advice on which you should rely. Specific advice is provided only under a separately executed engagement agreement, and is delivered subject to the terms of that engagement.
Public Materials — including sample reports, assessments, dashboards, blog posts, and other content — describe approaches and findings at a generalized level and are not calibrated to your specific business context. They are illustrative and should not be used to make business decisions without further analysis and customization.
The Site and Materials may contain references to, links to, or descriptions of third-party tools, vendors, platforms, websites, and services. References do not constitute endorsements. We are not responsible for the accuracy, content, availability, terms, or practices of third parties, and your use of any third-party content or service is at your own risk and subject to the third party's own terms.
THE SITE AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, OR UNINTERRUPTED OPERATION.

WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY ASSESSMENT, REPORT, BENCHMARK, COMPETITIVE READ, OR SIMILAR MATERIAL ACCESSED THROUGH THE SITE. ALL SUCH MATERIALS REFLECT POINT-IN-TIME ANALYSIS BASED ON ASSUMPTIONS, METHODOLOGIES, AND DATA SOURCES THAT MAY CHANGE OR BE INCOMPLETE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CXONTOLOGY, ITS AFFILIATES, OR ITS PERSONNEL BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR MATERIALS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS AND YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (USD 100).
The above limitations apply to claims under any theory of liability, whether contract, tort, statute, or otherwise, regardless of whether the limited remedies in these Terms fail of their essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
These limitations apply to your use of the Site only. The terms governing our paid client engagements are set out in the relevant engagement agreement.
You agree to defend, indemnify, and hold harmless cxontology, its affiliates, and their respective personnel from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your misuse of the Site or Materials; or (c) your violation of applicable law or the rights of any third party in connection with your use of the Site.
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including suspected violation of these Terms.
Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Texas, and you consent to the jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
We may update these Terms from time to time. The "Last updated" date at the top of these Terms indicates when they were most recently revised. Continued use of the Site after changes become effective constitutes your acceptance of the updated Terms.
These Terms, together with our Privacy Notice, constitute the entire agreement between you and cxontology regarding your use of the Site, superseding any prior or contemporaneous understandings on this subject. If any provision is found unenforceable, the remaining provisions will continue in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of business assets.
